M&A roles at Honeywell build a rich acquisition pipeline consistent with Honeywell’s strategic plans. The company is looking to make meaningful additions to its strong core segments as well as in close adjacencies and new platforms upon which to grow their strong core businesses. The impact of the candidate’s efforts will be easily visible, and is critical to the growth of the business segments and to Honeywell. The role’s responsibilities to achieve this include:
This position will focus on project management and partnership with internal resources in order to support deal progression through binding approval (including supporting NDA, PSR, cross-functional due diligence organization and inputs, valuation parameters and fit definition, internal approval processes, integration planning inputs, review deck (including BOD deck) preparation, market research/ strategic fit analysis, etc.).
The incumbent will be responsible for managing a large number of projects at differing stages in the deal lifecycle at the same time and will reports to Vice President, M&A for PMT.
Main Responsibilities Include:
  • Support target assessment and the PSR process, NDA process, ongoing pipeline management for primary business focus area; Detailed Target analysis; project management once deal becomes live
  • Drive cross-functional due diligence organization and inputs. Work through diligence process to solicit and track critical integration thinking and planning from each functional representative on team and capture same in support of detailed integration planning effort.
  • Ensure M&A efforts follow proper internal approval processes; preparation for internal reviews
  • Gather and leverage integration planning inputs; support preliminary integration planning (and valuation inputs/impacts relating to same)
  • Prepare presentations for the Senior Leadership
  • Complete market research and strategic fit analyses
  • Organize PMT functional diligence expertise to support transaction
  • Project manage all functional inputs to the approval process within the SBU and PMT.
  • Partner with Corporate Development and Corp Legal to ensure proper processes and protocols timely adhered to by PMT team for each transaction. Work hand in hand with M&A Leadership and Corp Development to prepare for Non Binding and Binding approvals delivering a well communicated, well presented, fair/balanced and comprehensive analysis regarding each target at each stage in the review process.
  • Partner with business leadership in identifying markets, industries, technologies, geographies that complement the overall business strategy and translate that analysis into specific target pursuits.
  • Collect critical inputs on risks/opportunities and translate this to fact-based, well-reasoned judgments on valuation and structural impacts for same. This requires continual tie-off with business leaders, functional leaders as well as Corp Dev to drive ongoing alignment on key findings and assumptions from start to finish.

Qualifications
Basic Qualifications:
  • Minimum of 8 years of experience in M&A or strategic planning
  • Bachelors degree
Additional Qualifications:
  • Strong business acumen and strategic analysis; quick comprehension of HON business model, go to market strategy, technologies, products, services and solutions offered
  • Ability to work effectively and efficiently with relevant HON business leaders to understand, pressure test and re-test strategies and assumptions; work with business leadership, functional leadership, M&A/ BD leadership and Corporate Development leadership
  • Background and experience in transaction processes including deal structuring, valuation, due diligence, negotiation and integration
  • Strong judgment, leadership and influencing skills to complete work within realistic time frames and profitable parameters
  • Ability to deal with ambiguity, work within a cross functional team environment and communicate with multiple constituents
  • Working knowledge of NDA terms, rights/obligations and internal protocols on negotiating same; Ability to articulate strategic connection between proposed target and Honeywell business strategy (why pursuit makes sense and is linked to existing strategy) working collaboratively with business leadership. Strong business and financial acumen to support target assessment.
  • Ability to manage a large number of projects at differing stages in the deal lifecycle at the same time.
  • Ability to synthesize in a tight package key deal points (strategy, impact on HON, key issues to be resolved, etc.) for high level Board approval process
